Terms and Conditions
These Terms and Conditions (the "Terms") are a legally binding agreement between you and Deployku Pte Ltd, a private limited company incorporated in Singapore ("Deployku", the "Company", "we", "us" or "our"), governing your access to and use of the Heqiyou mobile application, together with all related features, content, websites and services (collectively, the "Service" or the "App").
PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
IMPORTANT NOTICES:
- You must be at least 18 years old to use the Service.
- Voice calls made through the Service are recorded and transcribed for safety purposes, as described in Section 8 and in our Privacy Policy. Use of the calling features constitutes consent to such recording and transcription.
- Credits have no monetary value, are non-refundable and may be forfeited if you breach these Terms (see Section 7).
- These Terms include disclaimers of warranties, limitations of liability, and an indemnity in our favour (see Sections 15–17).
1. About the Service
1.1 Heqiyou is a voice-first social discovery and dating platform. Instead of browsing photos, users connect through anonymous, time-limited voice calls ("Mini-Dates"). Identities, names and photos are concealed during a Mini-Date. If — and only if — both participants choose to continue after the call, their profiles are mutually revealed and a private chat is unlocked.
1.2 The Service may include, without limitation: anonymous voice calling; queue-based matching; compatibility indicators; post-match messaging; direct (non-anonymous) voice calls between matched users; an AI-assisted date-planning feature; profile creation and photo upload; in-app purchases of Credits; and rewarded advertising.
1.3 The Service is made available only in certain supported regions, as determined by us from time to time (each a "Supported Region"). Matching is generally limited to users within the same Supported Region. We may add, remove, restrict or modify Supported Regions at any time without prior notice.
1.4 We are constantly improving the Service. We may add, change, suspend or discontinue any feature of the Service (in whole or in part), introduce new features (including features that are in development at the date of these Terms, such as enhanced identity verification or additional payment methods), or impose limits on features, at any time and at our sole discretion. Where a change materially and adversely affects paid features, we will use reasonable efforts to give you advance notice.
2. Definitions
In these Terms:
- "Account" means the user account you register with the Service.
- "Content" means any data, text, audio, voice, images, photographs, profiles, messages, transcripts, ratings, reports or other material submitted to, generated on, or transmitted through the Service.
- "User Content" means Content that you submit, upload, transmit or otherwise make available through the Service, including your profile information, photos, voice during calls, and chat messages.
- "Credits" means the virtual, in-app units used to access certain paid features of the Service, as described in Section 6.
- "Mini-Date" means an anonymous, time-limited voice call between two users arranged through the Service's matching system.
- "Direct Call" means a non-anonymous voice call between users who have already mutually matched.
- "Match" means the state in which two users have both elected to continue after a Mini-Date, resulting in mutual profile reveal.
- "Marks" means the "Heqiyou" name, the Heqiyou logo and word marks, and all associated branding, trade dress, designs and logos of the Company.
- "Virtual Items" means Credits and any other virtual goods, features or items offered within the Service.
3. Eligibility
3.1 Minimum age. You must be at least eighteen (18) years of age to create an Account or use the Service. By using the Service you represent and warrant that you are at least 18 years old. We may terminate, without refund, any Account that we reasonably believe belongs to a person under 18, and we may require proof of age at any time.
3.2 Capacity and compliance. You represent and warrant that: (a) you have the legal capacity to enter into a binding contract; (b) you are not prohibited from using the Service under the laws of any applicable jurisdiction; (c) you have never been convicted of, and are not subject to pending charges for, a felony, indictable offence, sexual offence, or any crime involving violence or threat of violence; and (d) you are not required to register as a sex offender with any government authority.
3.3 Location. The Service is intended for use only in Supported Regions. You may not use the Service, or attempt to circumvent regional restrictions (including by using VPNs, location spoofing or false registration details), from outside a Supported Region.
3.4 One account per person. You may maintain only one Account. Accounts are for personal, non-commercial use by a single natural person. Accounts may not be created for or operated on behalf of another person, an organisation, or any automated process.
3.5 Previously removed users. If we have previously suspended, banned or removed you from the Service, you may not create a new Account without our express written permission.
4. Your Account
4.1 Registration. To use the Service you must register using a valid mobile phone number capable of receiving one-time verification codes, and complete the onboarding process, which includes providing your name or display name, date of birth, gender, city, and certain preferences. You may optionally provide an email address and a profile photo.
4.2 Accuracy. You agree to provide true, accurate, current and complete information, including your real date of birth, and to keep your information up to date. Misrepresenting your age, identity or other registration information is a material breach of these Terms.
4.3 Security. You are responsible for all activity that occurs under your Account and for safeguarding access to the device and phone number associated with it. You must notify us immediately at admin@deployku.com if you suspect any unauthorised access to or use of your Account.
4.4 Verification. We may, at our discretion, require identity, age, phone, photo or liveness verification (including verification performed by third-party verification providers) as a condition of creating or continuing to use an Account, or of accessing particular features (such as receiving calls). Failure to complete required verification may limit or suspend your access.
4.5 Profile photo moderation. Photos you upload may be screened by automated moderation systems and/or human reviewers before being displayed. We may reject, remove or decline to display any photo at our sole discretion, including photos that depict nudity, weapons, drugs, or offensive material, or that do not depict you.
5. The Matching System; Quality and Fairness Mechanics
5.1 Queue-based matching. Matching is performed by our systems based on factors that may include stated preferences, profile completeness, compatibility indicators derived from onboarding answers, geographic region, waiting time, and internal quality, reputation and compatibility scores. You acknowledge that matching is inherently discretionary and algorithmic, and that we do not guarantee any particular match, number of matches, call frequency, or outcome (romantic or otherwise).
5.2 Internal scores. To keep the Service safe and balanced, we maintain internal, non-public metrics associated with Accounts — for example, standing/reputation scores influenced by post-call ratings and reports, and matching-quality scores influenced by call outcomes. These metrics are used for matching, eligibility, rate-limiting and safety purposes. They are not a judgment of you as a person, are not visible to other users, and do not constitute any representation by us.
5.3 Eligibility gates and caps. Access to certain features (for example, joining the receiving queue) may be conditioned on requirements such as a verified phone number, a complete profile, an approved photo or system-generated avatar, good standing, completed verification, and being within periodic usage caps (for example, monthly limits on received calls). We may adjust these requirements and caps at any time.
5.4 Anonymity before reveal. During a Mini-Date, profiles are represented by system-generated abstract avatars. You agree not to circumvent the anonymity design — including by disclosing or soliciting real names, photos, social media handles, phone numbers, or other contact or identifying information during a Mini-Date.
5.5 Mutual reveal. Profile reveal and chat are unlocked only if both participants elect to continue after a Mini-Date. A decision not to continue is final for that call and is not disclosed in a manner intended to embarrass either party.
6. Credits, Purchases and Billing
6.1 What Credits are. Credits are a limited, personal, non-transferable, revocable licence to access certain features of the Service. Credits are not money, do not constitute property, have no cash or monetary value, accrue no interest, and cannot be redeemed, exchanged or cashed out for money or anything of value outside the Service. Credits may not be sold, traded, gifted, transferred between Accounts, or pooled.
6.2 How Credits are obtained. Credits may be obtained by: (a) purchasing Credit packs through in-app purchase at the prices displayed in the App at the time of purchase; (b) promotional or complimentary grants (for example, a sign-up allotment or periodic free Credits), at our discretion; (c) watching rewarded advertisements where offered, subject to daily or other limits we set; and (d) any other mechanism we may introduce. We may change Credit prices, pack sizes, earning mechanics, feature costs and limits at any time; changes apply prospectively and do not affect Credits already in your balance.
6.3 How Credits are spent. Features that consume Credits — such as initiating Mini-Dates of various durations, initiating Direct Calls, and generating AI date plans — are priced in Credits as displayed in the App at the time of use. For timed calls, Credits may be reserved when the call is initiated and settled based on the actual connected duration; where a call ends earlier than its booked duration, you may be charged proportionally, and where a call fails to connect due to a fault in our systems, reserved Credits will generally be released or refunded to your balance.
6.4 Payments and app store terms. In-app purchases are processed by the application marketplace from which you downloaded the App and/or our payment processing providers, and are additionally subject to that marketplace's or processor's terms. We do not store your full payment card details. We may in the future offer additional purchase methods (including direct or local payment methods), which may be subject to supplemental terms presented at purchase.
6.5 No refunds. Except as required by applicable law or by the binding policies of the relevant application marketplace, all purchases of Credits are final and non-refundable, including for unused Credits, and including upon account closure, suspension, termination or discontinuation of the Service. Where we choose, at our discretion, to provide a refund or credit in one instance, this does not entitle you to one in the future.
6.6 Expiry. Credits currently do not expire, but we reserve the right to introduce reasonable expiry or inactivity policies for free/promotional Credits and, on reasonable advance notice, for purchased Credits, to the extent permitted by applicable law.
6.7 Billing integrity. You agree not to: (a) obtain Credits through fraud, exploitation of bugs, automated means, or abuse of promotional, advertising or referral mechanics; (b) initiate chargebacks or payment reversals in bad faith; or (c) buy or sell Credits or Accounts outside the Service. Any Credits obtained in violation of this Section are void.
6.8 Records. Our records (including our transaction ledger) are, absent manifest error, conclusive evidence of your Credit balance and transactions.
7. Forfeiture of Credits; Suspension and Termination by Us
7.1 Forfeiture on breach. You acknowledge and agree that if you breach these Terms — including, without limitation, the conduct rules in Section 9, the billing-integrity rules in Section 6.7, or the eligibility requirements in Section 3 — we may, in addition to any other remedy available to us, cancel, revoke and forfeit any or all Credits (purchased, earned or complimentary) in your Account, without refund or compensation. Forfeiture may be applied together with, or independently of, any warning, cooldown, suspension or ban.
7.2 Grounds for action. We may issue warnings, restrict features, impose temporary cooldowns, suspend, or permanently ban your Account, and/or forfeit Credits, where we reasonably believe that you have: (a) breached these Terms or any policy referenced in them; (b) engaged in fraud, payment abuse or chargeback abuse; (c) harassed, threatened, harmed or endangered any user or our personnel; (d) misrepresented your age or identity; (e) used the Service for commercial solicitation, promotion or scamming; (f) created multiple or ban-evading Accounts; or (g) otherwise acted in a way that creates risk or possible legal exposure for us, other users, or third parties.
7.3 Effect of termination by us. Upon suspension or termination: (a) your licence to use the Service ends immediately (or for the suspension period); (b) all Credits in your Account are forfeited without refund to the fullest extent permitted by applicable law; and (c) Sections of these Terms which by their nature should survive (including Sections 6.5, 7, 10, 11, 14–19) will survive.
7.4 Appeals. If you believe an enforcement action was taken in error, you may contact admin@deployku.com. We will review good-faith appeals but are not obligated to reinstate any Account or Credits.
7.5 Termination by you. You may stop using the Service and delete your Account at any time via the App settings or by contacting admin@deployku.com. Deleting your Account forfeits any remaining Credits without refund, except where applicable law requires otherwise. Data handling on deletion is described in our Privacy Policy.
8. Call Recording, Transcription and Monitoring
8.1 Consent to recording. For the protection and safety of all users, voice calls conducted through the Service (including Mini-Dates and Direct Calls) are recorded and automatically transcribed. This is disclosed in the App before each call. By initiating or joining a call through the Service, you consent — and you represent that you consent — to the recording, transcription, automated analysis and safety review of that call. If you do not consent, do not use the calling features.
8.2 Handling of recordings. As described more fully in our Privacy Policy: raw call audio is processed for transcription and is deleted promptly after transcription is complete; transcripts (including automatically generated speaker labels and summaries) are retained and are accessible only to the call's participants and to authorised personnel for safety, moderation, fraud-prevention and legal-compliance purposes.
8.3 Safety and experience use. Recordings, transcripts and chat messages may be reviewed and used to investigate reports, detect and prevent abuse, enforce these Terms, comply with legal obligations, protect the safety of users, and enhance your experience of the Service, in each case in accordance with our Privacy Policy.
8.4 No user recording. You may not record, capture, screenshot, broadcast, or otherwise reproduce any call, voice, chat or profile content of another user, by any means (including external devices), without that user's express consent and ours. Doing so is a material breach of these Terms.
9. User Conduct and Community Rules
9.1 You agree that you will not, in connection with the Service:
- harass, abuse, stalk, intimidate, threaten, defame or harm any person, or encourage others to do so;
- use hate speech, or discriminate on the basis of race, ethnicity, nationality, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic;
- transmit content that is sexually explicit, obscene, pornographic, violent, or otherwise objectionable, or expose any user to such content without consent;
- misrepresent your identity, age, photos, or affiliations, impersonate any person, or operate a fake, duplicate or "catfishing" profile;
- solicit money, gifts, donations, financial information, passwords or one-time codes from any user, or engage in any scam, romance fraud, pyramid scheme or commercial solicitation;
- advertise, promote or sell any goods or services, or use the Service for any commercial purpose, without our prior written consent;
- disclose or solicit personally identifying or contact information during anonymous calls, or otherwise circumvent the anonymity and reveal mechanics of the Service;
- share another person's private or personal information without their consent ("doxxing");
- use the Service if you are under 18, or interact with the Service on behalf of anyone under 18;
- transmit viruses, malware or any code of a destructive or disruptive nature;
- scrape, crawl, harvest, or collect data about other users, or access the Service by automated means (bots, scripts, emulators) for any purpose;
- probe, scan, or test the vulnerability of, or breach, circumvent or defeat any security, rate-limiting, anti-fraud, moderation or authentication measure of the Service;
- reverse engineer, decompile, disassemble, modify, or create derivative works of the App or any part of the Service, except to the extent such restriction is prohibited by applicable law;
- access the Service to build a competing product, or copy any feature, function, interface or graphic of the Service;
- exploit bugs or unintended behaviour, manipulate matching, ratings, standing or reward systems, or abuse promotional mechanics; or
- use the Service in violation of any applicable law or regulation.
9.2 Reporting. The App provides tools to report and block other users before, during and after calls and in chat. We encourage you to report any conduct that violates these rules. Reports are reviewed by our moderation processes, which include human review. Submitting knowingly false or malicious reports is itself a breach of these Terms.
9.3 No obligation to monitor; right to act. We do not undertake a general obligation to monitor Content, but we reserve the right (and have absolute discretion) to review, screen, moderate, remove or refuse any Content, and to take enforcement action under Section 7, at any time and without prior notice.
10. User Content and Licences
10.1 Your ownership. You retain any ownership rights you hold in your User Content.
10.2 Licence to us. By submitting User Content, you grant Deployku a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers) and transferable licence to host, store, reproduce, process, adapt, transcribe, analyse, display and distribute that User Content, solely for the purposes of: (a) operating, providing, securing and improving the Service; (b) displaying your profile and messages to users as designed by the Service (e.g., post-reveal); (c) moderation, safety, fraud-prevention and enforcement; and (d) complying with law. This licence continues for so long as the relevant Content is retained under our Privacy Policy, and survives termination to that extent.
10.3 Anonymized and aggregated data. You agree that we may create and use anonymized, de-identified and/or aggregated data derived from User Content and your use of the Service — data which can no longer reasonably be used to identify you — for any lawful purpose, including improving matching quality, safety systems, features and the overall platform experience.
10.4 Your warranties. You represent and warrant that: (a) you own or have all rights necessary to submit your User Content and grant the licences above; (b) your User Content (including your photos and voice) depicts and belongs to you; and (c) your User Content does not and will not infringe, misappropriate or violate any third party's intellectual-property, privacy, publicity or other rights, or any law.
10.5 Feedback. If you provide suggestions, ideas or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or compensation.
11. Intellectual Property; Trademarks
11.1 Our ownership. The Service — including the App, its software, source code, architecture, databases, algorithms, matching and scoring systems, generated avatars and glyph designs, AI-generated outputs delivered by the Service, user interfaces, visual design, text, graphics, audio, and all other materials (excluding User Content) — is owned by or licensed to Deployku and is protected by copyright, trademark, trade-secret and other intellectual-property laws. All rights not expressly granted to you are reserved.
11.2 Limited licence to you. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the App on devices you own or control, solely for your personal, non-commercial use of the Service.
11.3 Trademarks — including pending applications. "Heqiyou", the Heqiyou logo, and our other Marks are trademarks of Deployku Pte Ltd. A trademark application for the "Heqiyou" mark is currently under examination before the Intellectual Property Office of Singapore (IPOS). You acknowledge and agree that the pendency of that application does not diminish, waive or prejudice any of Deployku's rights in the Marks, including unregistered and common-law rights, rights in passing off, copyright in logo artwork, and rights arising upon registration (which, if granted, will have effect from the application's filing date). Nothing in these Terms grants you any right, title, interest or licence in or to the Marks. You may not use, register, or apply to register any of the Marks, or any confusingly similar name, mark, logo, domain name, social-media handle or app identifier, anywhere in the world. All goodwill arising from any use of the Marks inures solely to the benefit of Deployku.
11.4 Infringement claims. If you believe Content on the Service infringes your copyright or other rights, notify us at admin@deployku.com with sufficient detail (identification of the work, the allegedly infringing material, your contact details, and a good-faith statement). We will review and act on valid notices as required by applicable law.
12. AI Features
12.1 AI-assisted features. The Service includes features powered by artificial intelligence, including automated transcription and summarisation of calls and an AI date-planning assistant that generates suggested date itineraries based on inputs you and your match provide. AI processing may be performed by third-party AI service providers on our behalf, as described in the Privacy Policy.
12.2 No reliance. AI-generated outputs (including date plans, venue suggestions, transcripts, summaries, and compatibility indicators) are automatically generated suggestions provided "as is" for convenience only. They may be inaccurate, incomplete, outdated or unsuitable. Venues, opening hours, prices, transport details and similar information are not verified by us. You are solely responsible for evaluating AI outputs before relying on them, and for your own decisions and safety when acting on them.
12.3 Third-party venues. We have no affiliation with, and accept no responsibility for, any venue, business or location suggested by AI features. Your interactions with such establishments are solely between you and them.
13. Safety; Interactions with Other Users
13.1 You are responsible for your interactions. The Service facilitates introductions between users. We do not conduct criminal-background or comprehensive identity screening of users, and any verification we do perform (such as phone, photo or liveness verification) is limited and may not detect false or misleading information. We make no representations or warranties as to the identity, conduct, intentions, compatibility or legitimacy of any user.
13.2 Exercise caution. You are solely responsible for your interactions with other users, both within the Service and — especially — offline. Always exercise common-sense precautions: meet in public places, tell someone where you are going, do not share financial information or send money, and do not rely solely on in-app verification signals. In-app safety guidance is provided for convenience and is not a guarantee of safety.
13.3 No liability for user conduct. To the fullest extent permitted by law, Deployku is not responsible or liable for the conduct of any user, whether online or offline, or for any loss, injury or damage arising from interactions between users, including meetings arranged through the Service or its AI date-planning features.
13.4 Emergencies. The Service is not an emergency service. If you believe you are in danger, contact local law enforcement or emergency services immediately.
14. Third-Party Services, Advertising and App Stores
14.1 Service providers. The Service is operated using infrastructure, communications, payment, advertising, verification, moderation and AI services supplied by third-party providers acting on our behalf. Their handling of personal data is described in our Privacy Policy. We are not responsible for outages, errors or acts of such providers beyond our reasonable control.
14.2 Advertising. The Service may display advertising, including optional rewarded advertisements. Advertisements are provided by third-party advertising networks; we do not endorse advertised products or services, and your dealings with advertisers are solely between you and them.
14.3 App store terms. Your download and use of the App is also subject to the terms and policies of the application marketplace from which you obtained it. These Terms are between you and Deployku only; the marketplace operator is not a party to these Terms, has no obligation to provide support or maintenance for the App, and is not responsible for any claims relating to the App. To the extent required by the marketplace operator's terms, that operator and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
14.4 Links. The Service may contain links to third-party websites or resources (including within AI-generated date plans). We are not responsible for their content, products or services.
15. Disclaimers of Warranties
15.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by applicable law, Deployku disclaims all warranties, conditions and representations, express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, accuracy and non-infringement, and any warranties arising from course of dealing or usage of trade.
15.2 Without limiting the foregoing, we do not warrant that: (a) the Service will be uninterrupted, timely, secure, error-free or free of viruses or harmful components; (b) any matches, calls, messages, transcripts, AI outputs or other Content will be accurate, reliable, complete or available; (c) defects will be corrected; or (d) the Service will meet your expectations or result in any relationship, date or other outcome.
15.3 Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions the above exclusions apply to the maximum extent permitted, and nothing in these Terms excludes rights that cannot lawfully be excluded.
16. Limitation of Liability
16.1 To the fullest extent permitted by applicable law, in no event will Deployku, its directors, officers, employees, agents, licensors or service providers be liable for: (a) any indirect, incidental, special, consequential, exemplary or punitive damages; (b) loss of profits, revenue, goodwill, data, opportunity or anticipated savings; (c) any damages arising from your access to or use of (or inability to access or use) the Service; (d) the conduct or Content of any user or third party, including defamatory, offensive, illegal or harmful conduct, and including any interactions or meetings arising from use of the Service; or (e) unauthorised access to or alteration of your transmissions or data — in each case whether based on warranty, contract, tort (including negligence), statute or any other legal theory, and whether or not we were advised of the possibility of such damages.
16.2 To the fullest extent permitted by applicable law, the aggregate liability of Deployku for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred Singapore dollars (SGD 100).
16.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. The limitations in this Section apply only to the maximum extent permitted by law.
16.4 You acknowledge that the provisions of Sections 15 and 16 are a reasonable allocation of risk and form an essential basis of the bargain between you and us, and that the Service would not be provided to you on these economic terms without them.
17. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold harmless Deployku and its directors, officers, employees, agents and service providers from and against any claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your use or misuse of the Service; (c) your breach of these Terms or of any applicable law; (d) your interactions with other users, online or offline; or (e) your violation of any rights of another person. We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defence.
18. Governing Law and Dispute Resolution
18.1 Governing law. These Terms, and any dispute or claim (contractual or non-contractual) arising out of or in connection with them or the Service, are governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-laws principles.
18.2 Negotiation first. Before commencing formal proceedings, you agree to first contact us at admin@deployku.com with a description of the dispute and to attempt in good faith to resolve it informally for at least thirty (30) days.
18.3 Jurisdiction. Subject to Section 18.2, the courts of Singapore shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service, and each party submits to the jurisdiction of those courts. Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction, or limits any mandatory consumer rights you may have under the laws of your place of residence to bring proceedings locally.
18.4 No class actions. To the extent permitted by applicable law, disputes must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective or representative proceeding.
18.5 Time limit. To the extent permitted by applicable law, any claim arising out of or relating to the Service must be commenced within one (1) year after the cause of action accrues; otherwise it is permanently barred.
19. General Provisions
19.1 Changes to these Terms. We may amend these Terms from time to time. If we make material changes, we will provide notice through the App or by other reasonable means, and the updated Terms will state a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the amended Terms. If you do not agree, you must stop using the Service and may delete your Account.
19.2 Entire agreement. These Terms, together with the Privacy Policy and any supplemental terms presented for specific features or purchases, constitute the entire agreement between you and Deployku regarding the Service and supersede all prior agreements and understandings on that subject.
19.3 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
19.4 No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision. Any waiver must be in writing and signed by us.
19.5 Assignment. You may not assign or transfer these Terms or your Account. We may assign or transfer these Terms (in whole or in part) without restriction, including in connection with a merger, acquisition, reorganisation or sale of assets.
19.6 Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, governmental action, utility or telecommunications failures, or failures of third-party providers.
19.7 No relationship. Nothing in these Terms creates any partnership, joint venture, employment, fiduciary or agency relationship between you and Deployku.
19.8 Survival. Provisions that by their nature should survive termination of these Terms will survive, including Sections 6.5, 7, 10, 11, 14–19.
19.9 Language. These Terms are drafted in English. Any translation is provided for convenience only; the English version prevails to the extent of any inconsistency, except where prohibited by applicable law.
19.10 Electronic communications. You consent to receive communications from us electronically (in-app notices, push notifications, SMS to your registered number, or email where provided), and agree that such communications satisfy any legal requirement of written communication.
